Terms of Service

Effective from 5 October 2026.

1. About these terms

Mittral is a product of AYOH. These terms are an agreement between the organisation that creates or uses a Mittral workspace (“you”) and Applied Optimisation UK Ltd (“we”, “us”), a company registered in England and Wales with company number 14970295, whose registered office is at Studio 9, 50-54 St Pauls Square, Birmingham, B3 1QS, United Kingdom.

By creating a workspace or using Mittral on behalf of an organisation, you confirm that you may accept these terms for it.

2. Definitions

  • Workspace: your organisation’s space in Mittral, with its members, settings, requests and purchase orders.
  • Users: the people you invite or allow to use your workspace.
  • Customer data: everything you or your users put into Mittral, including purchase requests, attachments, supplier details and purchase orders (POs).
  • Plan: the subscription level of your workspace, with the prices and limits shown on our pricing.

3. The service

Mittral lets your users raise purchase requests, route them for approval, and turn approved requests into POs that Mittral creates as PDFs and emails to the suppliers you name. Mittral is a service for businesses and other organisations, not for consumers. We may improve and change the service over time. We will not remove the core request, approval and PO workflow from a plan you have paid for during a period you have paid for.

4. Accounts and workspaces

  • You are responsible for your users, the roles you give them and everything done in your workspace.
  • Keep sign-in details secure and tell us promptly about any unauthorised use.
  • Give accurate company details: they are printed on your POs as the buyer.
  • A company can create one workspace for its email domain. Don’t create extra workspaces to get around plan limits.
  • Any user can delete their own Mittral account. They leave your workspace; requests, approvals and POs they took part in stay in it as your records. A workspace’s only admin must first give another user the admin role, and its only member must first delete the workspace.

5. Plans and limits

Each plan includes a number of users, POs a month and storage, as shown on our pricing and in the limits guide. When you reach a limit, the service behaves as described there: for example, POs approved after the monthly allowance is used up are held until it resets or you upgrade, and at the storage limit only new uploads stop. We do not charge automatically for use beyond a limit.

We may change the plans we offer, their prices and their limits, including the Free plan, by giving notice as described in clause 13. A price change to a paid plan applies from your next billing period after the notice ends.

“Unlimited” allowances are subject to the technical limits that apply to every plan (such as file size limits) and to our Acceptable Use Policy.

6. Fees and payment

  • Paid plans are billed monthly in advance, per workspace, through our payment provider Stripe. Prices are set in US dollars; where Stripe offers it, you may pay in your local currency at Stripe’s exchange rate, including its conversion fee.
  • Prices exclude VAT and any other sales taxes. Where we are required to charge tax, it is added at checkout and shown on your invoice. You are responsible for any other taxes on your purchase.
  • Upgrades take effect once payment succeeds and are charged pro rata for the rest of the billing period. Downgrades and cancellations take effect at the end of the paid period.
  • If payment fails and is not recovered after our payment provider’s retries, your workspace moves to the Free plan. Your customer data is not deleted.
  • Fees already paid are not refundable, except where the law requires it or where we end your access under clause 10 without a breach on your part; we then refund the part of the fee that covers the time after access ends.

7. Support and training

Every plan can reach us by email at support@mittral.com. Business and Enterprise include dedicated support: a named contact and priority handling of your requests, with the details agreed with you when you subscribe. Enterprise includes custom on-site training: its content, dates, location and any travel costs are agreed with you in writing before it is booked.

8. Your data

You own your customer data. We process it to provide the service and as described in our Data Processing Agreement, which forms part of these terms, and our Privacy Policy.

Workspace admins can export all of a workspace’s data at any time, from Settings → Workspace data: every record as JSON and CSV files, with every file, as zip downloads available for 7 days.

A workspace admin can delete a workspace. It closes at once. For 30 days any of its admins can cancel the deletion or export its data; after that its data and files are deleted permanently and can’t be recovered. A paid plan stops renewing when the workspace is deleted and ends at the end of the period already paid. We keep billing records as the law requires.

9. Purchase orders and supplier emails

You are responsible for the content of your purchase requests and POs, for the supplier addresses you enter and for having the right to contact those suppliers. POs name your organisation as the buyer; Mittral is not a party to your purchases and is not responsible for your suppliers’ performance or for payment between you and them. A PO shown as sent has left Mittral; this does not mean the supplier has received, read or accepted it.

To protect email delivery for all customers, we limit how many supplier emails a workspace can send each day and may pause supplier emails from a workspace that causes bounces, complaints or abuse (see the Acceptable Use Policy).

10. Suspension and termination

You may stop using Mittral and cancel a paid plan at any time; cancellation takes effect at the end of the paid period. We may suspend or end access for serious or repeated breaches of these terms or the Acceptable Use Policy, or where required by law, and will tell you why unless the law prevents it. We may also stop providing Mittral, or a plan, altogether. Unless a serious breach or the law requires us to act sooner, we will give your workspace admins at least 30 days’ notice by email before we end access, so that they can export your data first. After access ends, your data is deleted as described in clause 8.

11. Intellectual property

We own Mittral, its software and its brand. You may use them only to use the service. If you send us feedback, we may use it without obligation to you.

12. Warranties and liability

We will provide Mittral with reasonable skill and care. We do not promise that it will be uninterrupted or free of errors, and we do not commit to a level of availability. You are responsible for checking that Mittral suits your purposes and for the purchasing decisions you make with it. All other warranties and terms that the law would otherwise imply are excluded as far as the law allows.

Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited or excluded by law.

Subject to that, neither of us is liable to the other for loss of profit, revenue, business or goodwill, or for any indirect or consequential loss; and our total liability to you arising out of or in connection with these terms or Mittral, in any 12-month period, is limited to the greater of the fees you paid us for Mittral in that period and £100.

13. Changes to these terms

We may update these terms. We will give you at least 30 days’ notice of material changes by email to your workspace admins; continued use after that means you accept them. If you don’t accept a change, you can cancel your plan and delete your workspace before it takes effect.

14. Governing law

These terms, and any dispute or claim arising out of or in connection with them or Mittral (including non-contractual disputes or claims), are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction.
